Terms of Service

These Terms of Service ("Terms") govern your access to and use of The Bid Helper ("Service"), operated by The Bid Helper ("Company," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts to use the Service. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Your Account

You are responsible for maintaining the security of your account credentials. Do not share your password. You are responsible for all activity that occurs under your account.

You must provide accurate information when creating your account. We may suspend or terminate accounts with false or misleading information.

Notify us immediately at hello@thebidhelper.com if you suspect unauthorized access to your account.

3. Subscriptions and Payment

Free plan — limited analyses per month, no credit card required.

Pro plan — unlimited analyses, full feature access, billed monthly at the then-current rate. Current pricing is displayed at /pricing.

All payments are processed by Stripe. By subscribing you authorize us to charge your payment method on a recurring basis. Prices may change with 30 days' notice to your registered email.

Cancellation — you may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds for unused time.

Refunds — we offer a full refund within 7 days of your first payment if you are not satisfied. Email hello@thebidhelper.com to request a refund.

4. Acceptable Use

You may use the Service only for lawful purposes in connection with legitimate government contracting business development. You may not:

  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell, sublicense, or redistribute the Service or its outputs without written permission
  • Upload documents you do not have the right to share (e.g., classified documents, documents under NDA restrictions)
  • Use the Service to generate analysis for submission in bids where you have a conflict of interest or are otherwise prohibited from competing
  • Attempt to circumvent rate limits, access controls, or usage restrictions
  • Use automated means (bots, scrapers) to access the Service without written consent
  • Upload malware, offensive content, or personally identifiable information about third parties

5. AI-Generated Content and Disclaimer

The Service uses artificial intelligence to analyze documents and generate reports. AI output is not legal advice, financial advice, or a guarantee of bid success.

Analysis results are provided for informational and business intelligence purposes only. You are solely responsible for:

  • Verifying AI-generated analysis against the actual solicitation documents
  • All bid/no-bid decisions, proposal content, and pricing decisions
  • Compliance with all applicable federal acquisition regulations
  • Outcomes of any proposals submitted based on our analysis

We make no warranty that our analysis is complete, accurate, or free of errors. Always review the source solicitation documents independently.

6. Intellectual Property

Our IP — The Service, including its code, design, brand, and proprietary AI workflows, is owned by The Bid Helper. These Terms do not grant you any ownership rights in the Service.

Your content — You retain ownership of any documents you upload and any data you enter. By uploading content, you grant us a limited license to process that content to provide the Service to you.

Output — Analysis reports generated by the Service based on your uploaded documents are yours to use for your business purposes.

7. Privacy

Our collection and use of personal information is described in our Privacy Policy, incorporated into these Terms by reference.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BIDS, OR LOST BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless The Bid Helper and its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. You may terminate your account at any time by contacting us.

Upon termination: your right to use the Service ends immediately; we will delete your data in accordance with our Privacy Policy; paid subscriptions are cancelled without refund for the remaining period (except in cases of our fault).

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
